Special resolution [Sec. 189 (2)]:
 
 
A special resolution is one which satisfies the following conditions:
 
1. The intention to propose the resolution as a special resolution has been duly specified in the notice calling the general meeting.

2. The notice has been duly given of the general meeting.

3. The votes cast in favour of the resolution by members entitled to vote are not less than 3 times the number of votes cast against the resolution by members so entitled and voting.

4. An explanatory statement setting out all material facts concerning the subject-matter of the special resolution including, in particular, the nature of the concern or interest of every director and the manager, if any, shall be annexed to the notice of the meeting.
